Gawker Media Looks For Outside Cash To Fund Trial

Gawker Media is seeking funding from outside investors and calling an "extraordinary general meeting" of shareholders on Thursday to approve a new class of Series B preferred shares, International Business Times has learned. The company confirmed the move on Tuesday as a way to finance its ongoing legal battle with ex-WWE legend Hulk Hogan.

The resolution put to the shareholders, obtained by IBT, will allow for the “authorization, creation and issuance of the Series B Preferred Shares.” Private companies looking to raise money issue different types of stock to different classes of shareholders. In the event of the sale of the company or an IPO, the different classes of shareholders may be paid at different rates or in different order.

It’s the first time Gawker has courted outside investors to fund its punchy brand of news and views, sources say. Under founder and CEO Nick Denton’s vision, the site has long declared editorial and financial independence as its guiding principle. Denton, who originally funded the venture himself, made a killing selling his social-networking site First Tuesday in the early 2000s and used the windfall to bankroll Gawker Media. Since then, the site has made its money through traditional ads and sponsored content cooked up by its ad studio.

A representative for Gawker sent IBT the following statement: “With the Hulk Hogan trial beginning in early March, Gawker Media is fortifying its finances to ensure full resources are in place for the continued cost of litigation," it read. "Gawker Media is the most heavily trafficked digital media company that has not raised institutional funding and continues to grow at double-digit rates, with significant untapped opportunity across its seven core brands."

That trial is the last stand of Terry Gene Bollea, better known as Hulk Hogan, who is suing Gawker to the tune of $100 million for defamation, loss of privacy and emotional pain over a sex tape published by the site in 2012.

Meanwhile, Hogan and Gawker should seek mediation instead of a trial, the Pinellas County circuit judge overseeing their case said in a Wednesday hearing.

According to tampabay.com, Judge Pamela Campbell made her suggestion during a discussion about attorneys' upcoming review of DVDs made during an FBI sting operation.

The former professional wrestler, whose real name is Terry Bollea, sued Gawker for $100 million in 2012. He accused the company of violating his right to privacy by publishing part of a sex tape of him and Heather Cole, ex-wife of radio shock jock Bubba the Love Sponge Clem.

The tape's reported contents — including racial and homophobic slurs — have caused major damage to Bollea's reputation.

Football Driving Winter TV Ratings

Football is holding up its end of the bargain in winter TV ratings again, boosting NBC, CBS and ESPN.

College football's championship game on ESPN endured a slip in Nielsen ratings from last year, but its 25.67M viewers were good enough for third place in the Jan. 11-17 period.

That game was beaten in the week only by playoff football. NBC's broadcast of an NFC playoff game between Green Bay and Arizona was No. 1 with 33.73M viewers, and a CBS postgame show for the AFC's Pittsburgh-Denver game was second with 31.17M viewers.

Games, pregame and postgame shows made up seven of the top 10 shows, booting Fox Business' GOP debate to 11th place with 11.09M viewers.Of non-football programs that broke the top 10, it was all CBS again: 60 Minutes (featuring Charlie Rose's interview with Sean Penn, and taking a lead-in from the Pittsburgh-Denver game) took the No. 6 spot with 20.62M viewers; The Big Bang Theory was seventh with 15.75M; and Madam Secretary was ninth with 11.87M.

In Search of Young Adults Watching Local TV News

It’s an oft-heard mantra that young adults don’t watch local TV news and are more likely to turn to the Internet as their primary news source. There is certainly evidence to support this point of view; but it’s not quite so cut and dried, according to The Media Audit. 

Denver, CO; Portland, OR; and Austin, TX are three markets that attract many young adults because of excellent employment and entrepreneurial opportunities, climate, culture and outdoor activities. Austin, according to 2015 data from The Media Audit, appears to be the most attractive. Include adults 35–44 in the equation, because the oldest Millennials are now entering this age group, and those adults with a Millennial mindset are either almost half of these markets’ entire populations or more than half.

Examining the weekly cumes for the four major network affiliates in Austin – KVUE-TV, ABC; KEYE-TV, CBS; KXAN, NBC; and KTBC-TV, Fox – reveals that early morning news is where advertisers targeting young adults should have a presence. Except for KXAN, the early morning news at the other three stations has a larger audience of adults 18–44 than adults 55+.

Adults 55+ viewership definitely dominates early news and late news, except KTBC where the weekly cume for adults 18–44 is 40.2 percent, compared to 33.6 percent for adults 55+. The late news on KTBC skews even further to the younger age group, 44.9 percent versus 26.7 percent.

A primary reason could be KTBC’s late news airs at 10 pm, allowing those career-focused and entrepreneurial young adults to grab more zzzzs.

ProPublica president Richard Tofel wants you to know that "the sky is falling on print newspapers faster than you think."

ProPublica is an independent, non-profit newsroom that produces investigative journalism in the public interest.

Tofel has blogged an eye-opening essay on Medium.

He compared 2013 and 2015 print circulation totals and found them to be "surprisingly low."


NYC Radio: WNSH Welcomes Tara Thompson, Brothers Osborne

A new Country artist on the rise, Tara Thompson, visited the WNSH NASH FM 94.7 studios this week in NYC to talk with afternoon hot Jesse Addy.

Tara is now on tour with Jennifer Nettles, Brandy Clark and Lindsay Ell as part of the CMT Next Women of Country Tour and will be performing tonight at the Beacon Theater in New York. Tara recalled how she loved to cover Sugarland songs and how this is a dream come true to be on tour with Jennifer Nettles. Before heading out, Tara played a couple of her songs for NASH FM 94.7 listeners, including “Vows”, “Someone to Take Your Place” and “Jail!”


Meanwhile, one of Country’s favorite up and coming duos, Brothers Osborne, also stopped by the NASH FM 94.7 studios. Jesse Addy talked to the artists about their new album, Pawnshop, which was just released last Friday.

They explained that the album covers a variety of genres, some Country and some Rock-- and there is a randomness to it, just like one would find randomness and variety in an actual pawnshop, hence the title. Their current single, “Stay A Little Longer”, is on its way to being number one and is also nominated for a Grammy this year for Best Country Duo/Group Performance!

In 1919...actress/radio-TV host Jinx (Eugenia) Falkenburg was born in Barcelona Spain.  She was a movie actress & popular model before & during World War II , after which she and her husband Tex McCrary were hosts of “Meet Tex and Jinx” a local radio talk show they conducted from Peacock Alley in New York’s  Waldorf Astoria.  They also hosted NBC TV’s At Home show, while she was a regular on TV’s charades show Masquerade Party.  She died a month after her husband Aug 27, 2003 at age 84.


In 1927...the first opera broadcast on a national Radio network occured. Radio listeners in Chicago, Illinois heard music from Faust.


In 1935...WFI-AM in Philadelphia  merged with WLIT as WFIL.

WFIL was formed by a merger of two stations that were launched in 1922. One used the call letters WFI, the other was originally WDAR. Each was owned by a major Philadelphia department store; WFI was operated by Strawbridge and Clothier, while WDAR was run by Lit Brothers.

While operated independently of each other, the two were able to work out amicable share-time agreements (hundreds of other American stations at the time were unable to do so, and frequently engaged in "jamming wars"). Around 1924, WDAR applied for and received the custom call-sign WLIT. By the late 1920s, the two stations were working jointly on various programs, promotions, and sponsorship efforts. In 1935, the two operators agreed to merge with each department store having representation on the new board of directors.


The new call-sign became WFIL, a combination of the two previous identifiers (the fact that the new call letters were close to a phonetic spelling of "Philadelphia" was merely a happy coincidence).




In 1938...Legendary radio disc jockey Wolfman Jack was born Robert Smith. He died July 1, 1995 at 57.

Smith was the younger of two children of Anson Weston Smith, an Episcopal Sunday school teacher, writer, editor, and executive vice president of the Financial World, and his wife Rosamond Small. His parents divorced while he was a child. To help keep him out of trouble, his father bought him a large Trans-Oceanic radio, and Smith became an avid fan of R&B music and the disc jockeys who played it, including "Jocko" Henderson of Philadelphia, New York's "Dr. Jive" (Tommy Smalls), the "Moon Dog" from Cleveland, Alan Freed, and Nashville's "John R." Richbourg, who later became his mentor.

After selling encyclopedias and Fuller brushes door-to-door, Smith attended the National Academy of Broadcasting in Washington, D.C. Graduating in 1960, he began working as "Daddy Jules" at WYOU in Newport News, Virginia. In 1962, he moved to country music station KCIJ 1050 AM in Shreveport, Louisiana as the station manager and morning disc jockey, "Big Smith with the Records". He married Lucy "Lou" Lamb in 1961, and they had two children.

Disc jockey Alan Freed had played a role in the transformation of black rhythm and blues into rock and roll music, and originally called himself the "Moon Dog" after New York City street musician Moondog. Freed both adopted this name and used a recorded howl to give his early broadcasts a unique character. Smith's adaptation of the Moondog theme was to call himself Wolfman Jack and add his own sound effects. The character was based in part on the manner and style of bluesman Howlin' Wolf. It was at KCIJ that he first began to develop his famous alter ego Wolfman Jack.

According to author Philip A. Lieberman, Smith's "Wolfman" persona "derived from Smith's love of horror flicks and his shenanigans as a 'wolfman' with his two young nephews. The 'Jack' was added as a part of the 'hipster' lingo of the 1950s, as in 'take a page from my book, Jack,' or the more popular, 'hit the road, Jack.'"


In 1946...“The Fat Man” began its 5-year run on ABC radio. J. Scott Smart, who played the portly detective, weighed in at 270 pounds in real life.



In 1978...The soundtrack of Saturday Night Fever reached number one on the album chart.


In 1989...Ted Nugent married his second wife, former radio traffic reporter for WLLZ-FM in Detroit, Shemane Deziel. They have a son together.


In 1997..."Colonel" Tom Parker, Elvis Presley's manager for 22 years (and briefly before that managed Eddy Arnold and Hank Snow) died following a stroke at 87.

Detroit Radio: WRIF-FM Inks Renewal Deal With Dave & Chuck


Greater Media announces radio morning personalities Dave & Chuck the Freak have signed a new multi-year contract with WRIF 101.1 FM in Detroit.

The new pact ensures the Motor City’s top rated morning show will remain on the station. The duo has held wake-up duties at the station since May of 2013.

No strangers to the Detroit airwaves, Dave and Chuck the Freak, along with Lisa Way, have spent over a decade working together at WRIF-FM and “across the border” in Windsor, Ontario. The show continues to incorporate heavy listener interaction, both live on the air and through the use of social media.

Atlanta Radio: Tad Lemire To Join WSB-FM Morning Show

Cox Media Group/Atlanta Radio has announced Tad Lemire to join Melissa Carter on WSB 98.5 FM B98.5 morning show.

Lemire, formerly on CMG Tulsa’s WRAV 96.5 FMMix 96, will join Carter on the new Tad & Melissa Show weekday mornings 5 to 9 a.m. beginning Feb 1.

“Tad is a rising star in Cox and I’m thrilled to welcome him to B98.5 and Atlanta,” said CMG Atlanta Radio VP and General Manager Donna Hall.

Nielsen Launching Social Content Ratings

Nielsen today announced that it is expanding Nielsen Twitter TV Ratings to include Facebook conversation for the first time. With measurement of program-related conversation across these two social networking services at launch, and plans to integrate Instagram at a later date, Nielsen Twitter TV Ratings will become Nielsen’s “Social Content Ratings.”
New metrics will provide standardized, third-party measurement of social media conversation about original video programming from TV and over-the-top streaming providers
Nielsen’s Social Content Ratings will be the first solution to measure aggregate-level program-related conversation on Facebook and Twitter, including posts shared with friends and family, with followers, and publicly. The expanded ratings are slated for commercial availability in the first half of 2016 and will be made available in all markets where Nielsen Twitter TV Ratings are currently available (Australia, Italy, Mexico and U.S.).

“The development of Social Content Ratings reflects Nielsen’s commitment to continually adapt our services to meet the needs of the industry and is part of Nielsen’s ongoing effort to evolve our measurement to reflect the total audience across screens and platforms,” said Sean Casey, President, Nielsen Social. “Nielsen Social measurement is evolving to provide a comprehensive, standardized picture of how consumers are responding to program content through social media, wherever and whenever.”

Nielsen’s Social Content Ratings will deliver standardized third-party measurement of program-related conversation for each social networking service tracked and gross totals across social networks. Measurement will include social media authorship (e.g., posts, Tweets), engagement (e.g., comments, likes, replies, Retweets, shares), reach (audience and impressions) and demographics (age and gender) as available. Social Content Ratings are designed to adhere to the social media measurement guidelines created by the Media Rating Council (MRC), with sponsorship and input from the American Association of Advertising Agencies (4A's), the Interactive Advertising Bureau (IAB) and the Word of Mouth Marketing Association (WOMMA).

Social media conversation about original video programming from TV and over-the-top streaming providers will be measured for linear airtimes as well as on a 24-hour-a-day, seven-day-a-week basis. The expanded metrics will build on the methodology and tracking system that Nielsen has developed over the past three years, since its initial agreement with Twitter. In support of Social Content Ratings, Facebook will deliver directly to Nielsen the aggregated and anonymous program-related conversation on Facebook, including posts shared with friends, family and publicly, while respecting and in full compliance with consumer privacy.

By measuring program-related conversation across social networking services, TV networks and streaming content providers can assess the effectiveness of social audience engagement strategies and better understand the relationship between social activity and tune-in. Additionally, comprehensive social measurement for programming will support agencies and advertisers in making data-driven media planning and buying decisions as they seek to maximize social buzz generated through ad placements, sponsorships, and integrations.

Report: Mike Francesca To Exit WFAN End of 2017

Afternoons on WFAN 660 AM / 101.9 FM might be radically different at the end of next year without the self-proclaimed king of New York sports radio.

The NY Post reports Mike Francesa, the often vilified but also revered talk-show host, announced on FOX Sports 1 Katie Nolan’s “Garbage Time” podcast that when his contract is up at the end of 2017, he will walk away.

“I’m not saying I’m leaving the business,” he told Nolan during an interview which caused him to be 20 minutes late to his own radio show Tuesday. “I’m leaving Monday to Friday, 5 ¹/₂ hours, FAN. I’m bringing the curtain down on that part of the show.

New York’s ‘Numbah One’ sports-talk host joined WFAN in 1987 and was paired with Chris “Mad Dog” Russo for 19 years. The two split in 2008 when Russo made a much-publicized switch to SiriusXM radio. The two are reuniting for a one-time reunion show on March 30.

The reunion show will take place at Radio City Music Hall with the proceeds going to the Garden of Dreams foundation with a live, commercial-free simulcast being carried by MSG-Plus, Sirius and WFAN for those who were unable to purchase a ticket.

Nevertheless, there have been rumors of a potential split between the Francesa and WFAN since the summer.

Despite his continually high ratings, the 61-year-old Francesca said he would have liked to start the next stage of his life sooner. Earlier this year, rumors swirled he was unhappy with management at WFAN over no longer being handed preferential treatment due to the rising success of the ‘Boomer and Carton’ show.

Philly Radio: Josh Innes In Hot Water Over Slur

Philly sports radio host Josh Innes is in hot water for using a racial epithet on the air to describe a Philadelphia Eagles player on CBS Radio's  WIP 94.1 FM.

Innes used a pejorative term in a description of Eagles center Jason Kelce, according to Philly.com.

“I’m the dumbest human being on the planet,” Innes said during an on-air apology, adding that he didn’t intend to offend anyone. “I apologize for that, I truly do. I’m an idiot.”


Innes has been critical of Kelce in the past for being overly loyal to the coaching staff. Talking to cohost Hollis Thomas yesterday, he noted how the Eagles’ center arrived early for a press conference introducing new head coach Doug Pederson.

It was after telling Thomas that he had watched “Malcom X” while waiting in the airport in Memphis that Innes put his foot in his mouth. “There was a scene where Denzel [Washington] is doing the whole thing about the slave and the house Negro? Right?” Innes began. Then, suggesting that the house Negro is a slave who still feels a sense of entitlement and pride by living in the main house, Innes ended by saying, “Jason Kelce is the [Eagles’] house Negro is what I’m trying to convey to you.”

One Philly radio exec told Philly.com staff writer Rob Tornoe they would be surprised if Innes survives on-air after making the comments.

San Diego Radio: Alberto Mier y Teran Named GM Of KFMB Stations

Midwest Television, Inc., parent company of CBS 8/KFMB-TV, Me-TV, KFMB 760 AM, 100.7 KFM-BFM and KFMB Interactive, announced the appointment of Alberto Mier y Terán as President and General Manager of the KFMB Stations, effective February 1.

Mier y Terán returns to KFMB where he formerly held positions in local and regional sales nearly 20 years ago.

"I am thrilled to welcome Alberto back to the company where he began his broadcast career. Throughout his career he has built strong relationships with his employees, advertising partners and the community," said Elisabeth Kimmel, President and Owner of Midwest Television, Inc.

"His breadth of experience in strategic planning and overseeing multiple markets and media platforms will be an asset in his management of the KFMB Stations' television, digital and radio properties."

Mier y Terán's new appointment follows an impressive 16 year career with Entravision Communications and Univision Communications, Inc., where he most recently served as Executive Vice President of Univision Television Group from 2014 to 2015.

"I look forward to leading the KFMB television/radio stations and digital properties to provide one-stop solutions for our advertising and community partners," said Mier y Terán. Dan Mason To Address Conclave 41 Luncheon

Dan Mason, who served as President and CEO of CBS Radio will share powerful knowledge and insight from his illustrious career at a special luncheon on July 14 during Conclave 41.

During his tenure at CBS Mason initiated an aggressive growth strategy including the launch of new formats at dozens of stations across the country and creating CBS Sports Radio, a 24 hour, seven-day-a-week lineup of national programming from CBS Radio and CBS Sports.

Mason also diversified the division's portfolio with station formats that cater to a variety of male and female demographics, as well as a myriad of age groups from teens to young adults, and boomers. Under Mason's leadership, CBS Radio took a number of steps to expand its digital presence, including building an online audio streaming platform, creating mobile applications that allow listeners to interact with CBS Radio stations on the go, and expanding its use of online video to complement the division's over-the-air programming

Conclave 41 is scheduled for July 13-15th at the Crowne Plaza Hotel MSP Airport / Mall of America. Early bird registration of $249 expires Jan. 31st, 2016. After that, registration increases to $299.
